Purpose
These Terms of Use ("Terms") govern the use of the BizCrush service ("Service") provided by ADELAB Inc. (the "Company"). These Terms set forth the rights, obligations, and responsibilities of the Company and Members in connection with the Service, including account eligibility, personal data handling, payment and refund policies, and other necessary matters.
Definitions
Service – The BizCrush platform and all related features provided by the Company, including in-person meeting recording, meeting log generation, automated follow-up drafting, CRM synchronization, and related services.
Member – An individual or entity that registers for the Service, agrees to these Terms, and enters into a service use agreement with the Company.
Account – The login identity created by the Member, typically an email address and associated credentials, used to access the Service.
Password – A unique combination of letters, numbers, or symbols created by the Member to secure their Account.
Profile Information – Contact details or business information voluntarily uploaded or shared by a Member, including information imported or exchanged through features such as Business card, QR code scanning or email invitations (e.g., name, company, role, phone number, email, or profile image).
Paid Service – Subscription-based or other paid features offered by the Company.
Paid Member – A Member who pays for and accesses a Paid Service.
Publication and Amendment of Terms
The Company shall make these Terms, along with its name and contact information, available within the Service.
The Company may amend these Terms as long as such amendments comply with applicable law.
Any amendment shall be notified to Members with the effective date and reasons for amendment:
At least 7 days prior to enforcement, or
30 days prior where changes materially affect Members’ rights or obligations (e.g., payment, refunds).
Members who do not agree with amendments may terminate their Account before the effective date. Continued use of the Service after the effective date constitutes acceptance of the amended Terms.
Interpretation of Terms
Any matter not specified herein shall be governed by applicable law and industry practice.
If a provision conflicts with law, the law prevails and the remaining provisions remain valid.
If a separate agreement (e.g., specific service policies) exists, that agreement prevails in case of conflict.
If any provision is deemed unenforceable, the rest remain effective.
Formation of Service Contract and Eligibility
A service use agreement ("Use Agreement") forms once the Applicant agrees to these Terms and the Privacy Policy, completes registration, and the Company approves.
Applicants must be 18 years or older.
The Company may refuse or later cancel membership in cases such as false information, prior termination for violation, unauthorized use of another’s identity, or other inappropriate conduct.
A Paid Service contract is effective upon confirmed payment. Improper or unauthorized payments may lead to cancellation.
Provision and Management of User Information
Required: Email address, name or nickname.
Optional: Company, title, profile photo, and other networking details.
Members must maintain accurate and up-to-date information.
Refusal to provide required information prevents registration.
Protection of Personal Information
The Company protects Members’ personal data in accordance with applicable laws and its Privacy Policy.
The Company is not responsible for damages caused by a Member’s negligence in securing account credentials.
Member Account Information
The registered email serves as the Member’s login ID.
Members are responsible for safeguarding account information and preventing unauthorized use.
Any damages resulting from negligence in protecting credentials shall be borne by the Member.
Notices to Members
Notices may be sent via in-app notifications, email, or other electronic means.
Notices to all Members may be substituted by posting within the Service for at least 7 days.
Obligations of the Company
The Company shall comply with applicable laws and endeavor to provide the Service stably and securely.
The Company will handle valid feedback or complaints promptly or notify the Member of reasons for delay.
Obligations of Members
Members shall use the Service only as intended and must not:
Provide false information, impersonate others, or use another person’s account.
Infringe intellectual property or privacy rights.
Upload malicious code, attempt hacking, reverse engineer, or gain unauthorized access.
Post unlawful, obscene, defamatory, or harmful content.
Engage in fraud, illegal activity, or conduct that harms the Company or others.
Misuse the Service for unauthorized commercial, promotional, or political activity without prior written consent.
Members are responsible for all activity under their Account.
Service Availability and Downtime
The Service is generally available 24/7, but may be suspended for maintenance, upgrades, or unforeseen issues.
Scheduled downtime will be announced in advance where practicable.
Paid Service discontinuation will be notified, and Members compensated via refunds or alternatives.
Service Content and Modification
The Company may add, modify, suspend, or discontinue features of the Service.
Free features may be changed without compensation.
Paid Services materially affected by changes will be subject to refunds or alternatives.
Copyright in Member Content
Copyright in content uploaded by Members remains with the Member.
By posting, Members grant the Company a non-exclusive, worldwide, royalty-free license to use such content for service operation and promotion.
Separate consent will be obtained for uses outside this scope.
Management of Posts
The Company may remove or restrict access to posts that violate law, rights, or these Terms.
Content may also be removed upon request from a rights holder or affected party.
Ownership of Rights
All rights in the Service, including software, data, and technology, belong to the Company or its licensors.
Members are granted only a limited, non-transferable license to use the Service.
Termination by Member
Members may terminate their Account at any time.
Upon termination, data will be handled per the Privacy Policy, except where retention is required by law.
Shared contact information may remain accessible to other Members.
Payment Methods
Payments for Paid Services may be made through the following methods, depending on the platform used:-
In-App Purchases: Payments made via the Apple App Store (Apple In-App Purchase) or Google Play Store (Google Play Billing).
Web Payments: Payments made via Stripe, using a valid credit or debit card.
The Company does not support direct bank transfers, cash payments, or any payment method not explicitly listed above.
All payments must be made using methods officially supported within the Service. The Company may add or remove supported payment methods at its discretion and will notify Members of any material changes.
Cancellation and Refunds
Refund Eligibility:
Once a Member initiates a recording session or meeting log, the Paid Service is deemed used and is not refundable, regardless of the remaining subscription period.
General Policy:
Unless required by applicable law, all sales are final once the Service has been accessed or used.
If the Member is unable to use the Service due to reasons attributable to the Company (e.g., technical failure), a full refund or equivalent service will be provided.
Refund Method:
Refunds will be processed to the original payment method within 3 business days of approval, subject to payment provider timelines.
Overpayments due to Company error will be refunded in full; Member error refunds may be subject to processing fees.
Recurring Payments:
Subscriptions renew automatically unless canceled.
If payment fails, access may be suspended or terminated.
Restrictions on Service Use
The Company may issue warnings, suspend accounts, or terminate use in cases of violation.
Severe violations (fraud, hacking, malicious acts) may result in immediate termination without refund.
Damages
The Company’s liability is limited to actual, direct damages caused by its willful misconduct or gross negligence.
Members must compensate the Company for damages arising from their violations.
If a third-party claim arises from a Member’s unlawful act, the Member shall indemnify the Company.
Limitation of Liability
The Company is not liable for service interruptions due to force majeure (e.g., natural disasters, war, strikes).
The Company is not liable for issues attributable to the Member (e.g., device failures, network problems).
The Company does not guarantee accuracy or reliability of content posted by Members.
Liability for free features is disclaimed to the maximum extent permitted by law.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA.
Any disputes arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in San Francisco County, California, USA.
Both the Company and the Member consent to the jurisdiction of such courts.
